Seit dem Übergang vom Sozialstaat zum Präventionsstaat im 20. Jahrhundert sieht sich das Recht neuen Anforderungen ausgesetzt, für welche seine bisherigen Regulierungsmechanismen kaum noch ausreichen; es lässt sich eine sogenannte Steuerungskrise beobachten. Verschiedene Lösungsansätze werden vorgeschlagen, um diese Krise zu bewältigen, unter welchen derjenige der Prozeduralisierung eine besondere Erwähnung verdient. Ein Beispiel derartiger Prozeduralisierung lässt sich im schweizerischen Aktienrecht finden.
